Terms of Service

Welcome to RacewayIQ. These Terms of Service ("Terms") govern your access to and use of RacewayIQ, including our website, software, calculators, schedules, reports, PDF exports, saved calculations, guided workflows, APIs, downloadable materials, paid subscription features, beta features, and related services (collectively, the "Service").

These Terms form a legally binding agreement between you and RacewayIQ, its owner, operator, affiliates, contractors, licensors, and service providers ("RacewayIQ," "Company," "we," "us," or "our").

By accessing, browsing, creating an account, purchasing a subscription, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

1. Purpose of the Service

RacewayIQ provides electrical design assistance tools intended to help users perform calculations, organize electrical design information, generate reports, create schedules, review concepts, and reduce repetitive manual work.

The Service may include, without limitation:

  • standalone electrical calculators;
  • raceway, conduit, conductor, voltage drop, box fill, and related electrical calculation tools;
  • PDF reports and exports;
  • saved calculation history;
  • renamed and favorited calculations;
  • guided RacewayIQ Pro workflows;
  • conduit and cable schedule tools;
  • project-related saved data;
  • beta features;
  • educational or informational references;
  • future calculators, reports, APIs, and engineering utilities.

The Service is provided solely as an informational design aid. It is not a substitute for professional judgment, engineering review, manufacturer documentation, applicable codes and standards, project specifications, field verification, utility requirements, or approval by the Authority Having Jurisdiction ("AHJ").

You are solely responsible for determining whether any calculation, output, schedule, report, recommendation, reference, or result is accurate, complete, current, code-compliant, and suitable for your intended use.

2. Not Professional Engineering Services

RacewayIQ does not provide professional engineering services, engineering certification, electrical engineering services, legal advice, code compliance certification, inspection approval, permit approval, construction approval, sealed drawings, stamped calculations, or professional opinions.

Nothing provided through the Service creates an engineer-client relationship, consultant-client relationship, contractor-client relationship, attorney-client relationship, fiduciary relationship, or professional advisory relationship.

No calculation, report, schedule, export, result, note, message, workflow, or reference generated by the Service should be interpreted as a professional engineering deliverable, sealed engineering document, permit document, construction document, inspection approval, or certification of compliance.

3. User Responsibility

You are solely responsible for all use of the Service and all decisions made from or related to the Service.

You are solely responsible for:

  • verifying all user inputs;
  • reviewing every calculation;
  • confirming assumptions;
  • checking formulas and outputs;
  • reviewing manufacturer documentation;
  • reviewing product listings, labels, and installation instructions;
  • reviewing project drawings and specifications;
  • reviewing contract documents;
  • reviewing utility requirements;
  • reviewing the National Electrical Code ("NEC") and any other applicable codes;
  • reviewing local amendments and state or municipal requirements;
  • confirming AHJ interpretations and approval requirements;
  • verifying field conditions;
  • verifying conductor, raceway, equipment, temperature, derating, correction, and installation conditions;
  • confirming that any result is appropriate for the actual project, location, installation, and use case.

The Service should never be the sole basis for engineering, procurement, fabrication, installation, construction, inspection, permitting, estimating, bidding, code compliance, safety, or operational decisions.

4. Calculations May Contain Errors

Although RacewayIQ strives to provide useful and accurate tools, the Service may contain errors.

Calculations, reports, exports, schedules, references, and other outputs may be affected by, without limitation:

  • programming errors;
  • software defects;
  • bugs;
  • incorrect formulas;
  • incomplete formulas;
  • incorrect assumptions;
  • missing data;
  • incomplete data;
  • outdated data;
  • outdated code references;
  • code interpretation differences;
  • AHJ interpretation differences;
  • manufacturer-specific requirements;
  • utility-specific requirements;
  • rounding differences;
  • unit conversion differences;
  • browser, device, or display issues;
  • user input errors;
  • database errors;
  • third-party service errors;
  • beta feature limitations;
  • changes to codes, standards, products, or regulations.

RacewayIQ does not guarantee that any input, output, calculation, report, export, schedule, reference, recommendation, or result is correct, complete, current, reliable, suitable, or code-compliant.

You must independently verify all calculations, reports, schedules, exports, and results before relying on them for any purpose.

5. No Guarantee of Code Compliance

References to codes, standards, tables, formulas, or industry practices are provided for convenience and informational use only.

RacewayIQ does not guarantee compliance with:

  • the National Electrical Code;
  • prior, current, or future NEC editions;
  • local amendments;
  • state laws or regulations;
  • municipal requirements;
  • utility requirements;
  • manufacturer instructions;
  • product listings;
  • project specifications;
  • contract documents;
  • owner requirements;
  • AHJ interpretations;
  • inspection requirements;
  • permitting requirements;
  • safety standards;
  • any other applicable rule, regulation, code, standard, or requirement.

Code compliance is project-specific and jurisdiction-specific. Users are solely responsible for determining and verifying compliance.

6. Engineering Disclaimer

The Service is intended only as a design aid and productivity tool.

The Service is not a substitute for:

  • licensed professional engineering judgment;
  • licensed electrical contractor judgment;
  • qualified electrical design review;
  • field verification;
  • manufacturer documentation;
  • product instructions;
  • utility coordination;
  • code review;
  • permit review;
  • inspection review;
  • AHJ approval;
  • safety review;
  • professional sealing or stamping where required.

All calculations and outputs should be independently reviewed by a qualified person before use.

7. Beta Features

Certain features may be identified as "Beta," "Preview," "Experimental," "Testing," or similar. This includes, without limitation, the Schedule function, conduit schedules, cable schedules, saved schedule tools, guided workflow tools, and other developing RacewayIQ Pro features.

Beta features are provided for testing, evaluation, and convenience only. Beta features may be incomplete, inaccurate, unstable, unavailable, modified, limited, or discontinued at any time.

Beta feature outputs may contain more errors than other parts of the Service. You should not rely on beta feature outputs without independent verification.

RacewayIQ makes no promise that any beta feature will become final, remain available, remain free, remain included in any subscription, or continue to operate in the same way.

8. User Assumes All Risk

You use the Service entirely at your own risk.

By using the Service, you acknowledge and agree that you assume all risks associated with any calculation, report, export, schedule, workflow, reference, recommendation, data, or output generated by or through the Service.

You alone are responsible for any design, engineering, estimating, bidding, purchasing, procurement, installation, construction, inspection, permitting, safety, compliance, maintenance, or operational decision made using or influenced by the Service.

9. Accounts

Some features may require an account.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree not to share your account credentials, allow unauthorized access, sell account access, transfer account access, or use another person's account without permission.

You agree to provide accurate account information and keep your account information current.

We may suspend, restrict, or terminate your account if we believe that you have violated these Terms, misused the Service, attempted to bypass security, failed to pay required fees, infringed intellectual property rights, abused the Service, used the Service unlawfully, or created risk for RacewayIQ, other users, or third parties.

10. Free Features and Paid Features

RacewayIQ may offer free features and paid features.

Free features may include access to selected standalone calculators, current-session results, and limited PDF export functionality.

RacewayIQ Pro is a paid subscription that may include, without limitation:

  • saved calculation history;
  • saved Pro calculations;
  • favorites;
  • renamed calculations;
  • guided Pro workflows;
  • saved workflow data;
  • schedule tools;
  • saved schedules;
  • exports of saved Pro data;
  • additional calculators;
  • enhanced reports;
  • future Pro-only features.

RacewayIQ may change which features are free, paid, beta, limited, or discontinued at any time.

11. RacewayIQ Pro Subscription

RacewayIQ Pro is a monthly subscription membership.

The current advertised price is Ten U.S. Dollars (US $10.00) per month, unless a different price, promotion, trial, coupon, tax amount, or billing term is shown to you at checkout.

By purchasing RacewayIQ Pro, you authorize RacewayIQ and its payment processor to charge your selected payment method on a recurring monthly basis until you cancel, your subscription is terminated, or billing otherwise stops under these Terms.

Your subscription automatically renews each month unless cancelled before the next billing date.

You are responsible for reviewing the subscription price, billing frequency, renewal terms, cancellation terms, and any applicable taxes before purchasing.

12. Payment Processing

Payments may be processed by Stripe or another third-party payment provider.

RacewayIQ does not store full credit card numbers or card security codes. Payment processors may collect, process, store, and transmit payment information under their own terms, privacy policies, and security practices.

By submitting payment information, you authorize RacewayIQ and its payment processor to charge your payment method for applicable subscription fees, taxes, and other amounts due.

You represent that you are authorized to use the payment method provided.

13. Taxes

Subscription prices may not include applicable taxes unless expressly stated.

You are responsible for any applicable sales tax, use tax, value-added tax, goods and services tax, digital services tax, or other tax, duty, levy, or governmental charge associated with your purchase or use of the Service.

RacewayIQ or its payment processor may calculate, collect, and remit taxes where required.

14. Failed Payments

If your payment fails, is declined, is disputed, is reversed, or cannot be processed, we may suspend, restrict, downgrade, or terminate your Pro access.

We may attempt to charge your payment method again as permitted by law and payment processor settings.

You remain responsible for unpaid amounts, except where prohibited by law.

15. Cancellation

You may cancel your RacewayIQ Pro subscription through your account settings, billing portal, customer portal, or another cancellation method made available by RacewayIQ.

Cancellation prevents future renewal charges but does not automatically refund amounts already paid.

If you cancel during a paid billing period, your Pro access may continue until the end of the then-current paid billing period unless otherwise stated at cancellation or required by law.

You are responsible for cancelling before your next billing date if you do not want to be charged again.

16. Refunds

Unless required by law or expressly stated in writing by RacewayIQ, subscription fees are non-refundable.

RacewayIQ does not provide refunds or credits for partial months, unused time, forgotten cancellations, failure to use the Service, dissatisfaction with beta features, temporary outages, feature changes, discontinued features, account suspension due to violation of these Terms, or deletion of saved data after the applicable retention period.

RacewayIQ may, in its sole discretion, issue a refund, credit, discount, or other accommodation. Any such accommodation does not create an obligation to provide the same or similar accommodation in the future.

17. Price Changes

RacewayIQ may change subscription pricing, billing terms, feature availability, plan names, plan limits, or included features.

Where required by law, we will provide notice before a price change applies to an existing subscription.

Continued use of RacewayIQ Pro after a price change becomes effective constitutes acceptance of the updated price.

If you do not agree to a price change, you must cancel your subscription before the change applies to your account.

18. Pro Data Access and Retention

RacewayIQ Pro may allow users to save calculations, workflow data, schedules, project-related information, favorites, names, exports, and other Pro data.

Saved Pro data is available only while you have active Pro access or cancelled-but-paid-through-current-period Pro access.

If your Pro subscription ends, saved Pro data may enter a locked retention period. During the locked retention period, saved Pro data may be retained but inaccessible unless Pro is reactivated.

The current locked retention period is seven (7) days after Pro access ends, unless RacewayIQ states otherwise.

If Pro is not reactivated before the retention deadline, saved Pro calculations, workflow data, schedules, Pro history, favorites, names, and related Pro data may be permanently deleted.

Reactivating Pro during the locked retention period may restore access to retained saved Pro data. Reactivating after deletion starts a new Pro subscription and does not restore data that has already been permanently deleted.

You are solely responsible for maintaining your own copies of important reports, PDFs, exports, calculations, schedules, project records, and other information.

RacewayIQ is not responsible for lost, deleted, inaccessible, corrupted, expired, or unrecoverable data.

19. Local, Browser, and Session Data

Some calculations may be processed in your browser or stored temporarily in your browser, local storage, session storage, cache, device, or current session.

Unless an account-saving or Pro-saving feature is expressly provided, calculations are not intended to be permanently stored by RacewayIQ.

Clearing your browser data, changing devices, using private browsing, disabling cookies, losing internet access, logging out, or ending a session may delete or prevent access to unsaved data.

20. Reports, PDF Exports, and Downloads

Any report, PDF export, schedule export, calculation summary, or downloadable file generated through the Service is informational only.

Reports and exports are not sealed engineering documents, stamped drawings, construction documents, permit documents, inspection approvals, code compliance certifications, professional opinions, or guarantees of accuracy.

You are solely responsible for reviewing, verifying, preserving, and controlling any report or export before using, sharing, submitting, or relying on it.

21. User Content

You may enter, upload, save, submit, or generate information through the Service, including project information, calculation inputs, notes, schedules, labels, names, and related data ("User Content").

You retain ownership of your User Content, subject to the rights granted in these Terms.

You grant RacewayIQ a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, reproduce, back up, and use User Content as reasonably necessary to provide, maintain, secure, troubleshoot, improve, and support the Service.

You represent and warrant that you have all rights necessary to submit User Content and that your User Content does not violate law, infringe third-party rights, disclose confidential information without authorization, or contain malicious code.

22. Prohibited User Content

You may not submit User Content that:

  • is unlawful, fraudulent, defamatory, abusive, harassing, threatening, obscene, or harmful;
  • infringes intellectual property, privacy, publicity, confidentiality, or contractual rights;
  • contains malware, viruses, spyware, ransomware, or harmful code;
  • attempts to interfere with or compromise the Service;
  • contains sensitive personal information that is not necessary for use of the Service;
  • contains confidential third-party project information that you are not authorized to use;
  • violates applicable law, regulation, code, contract, or professional obligation.

23. Acceptable Use

You agree not to:

  • use the Service for unlawful purposes;
  • reverse engineer, decompile, disassemble, or attempt to derive source code from the Service;
  • copy, clone, scrape, harvest, or extract RacewayIQ data, formulas, interfaces, workflows, or outputs for competitive purposes;
  • build, train, improve, or operate a competing calculation service, artificial intelligence system, machine learning model, automation tool, or software product using the Service or its outputs without prior written permission;
  • bypass, disable, or interfere with security features;
  • access the Service using bots, scrapers, automated tools, or unauthorized APIs;
  • overload, disrupt, damage, or impair the Service;
  • probe, scan, or test vulnerabilities without written permission;
  • upload malicious software;
  • impersonate another person or entity;
  • misrepresent affiliation with RacewayIQ;
  • sell, rent, lease, sublicense, or redistribute access to the Service;
  • share paid account access;
  • remove copyright, trademark, or proprietary notices;
  • use the Service in a way that violates applicable law or these Terms.

Violations may result in immediate suspension or termination.

24. Intellectual Property

RacewayIQ and its licensors own all rights, title, and interest in and to the Service, including, without limitation:

  • source code;
  • object code;
  • software;
  • algorithms;
  • formulas;
  • calculation methodologies;
  • databases;
  • data structures;
  • graphics;
  • layouts;
  • workflows;
  • user interface designs;
  • reports;
  • templates;
  • documentation;
  • branding;
  • logos;
  • trademarks;
  • trade dress;
  • text;
  • design elements;
  • compilations;
  • look and feel;
  • related intellectual property.

No ownership rights are transferred to you by accessing or using the Service.

25. Limited License

Subject to your compliance with these Terms, RacewayIQ grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal personal or business use.

This license does not include any right to resell, redistribute, copy, reproduce, modify, create derivative works from, publicly display, publicly perform, commercially exploit, or use the Service to develop competing products or services.

RacewayIQ may revoke this license at any time if you violate these Terms.

26. Feedback

If you provide feedback, ideas, suggestions, bug reports, feature requests, improvements, comments, or recommendations, you grant RacewayIQ a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, copy, modify, publish, distribute, commercialize, and exploit that feedback for any purpose without compensation, credit, or obligation to you.

27. Third-Party Services

The Service may integrate with or rely on third-party providers, including, without limitation:

  • payment processors;
  • authentication providers;
  • cloud hosting providers;
  • analytics providers;
  • database providers;
  • email providers;
  • logging providers;
  • security providers;
  • customer support providers;
  • API providers;
  • other vendors.

RacewayIQ is not responsible for the availability, accuracy, security, privacy practices, performance, failures, delays, outages, acts, or omissions of third-party services.

Your use of third-party services may be governed by separate third-party terms and privacy policies.

28. Service Availability

RacewayIQ may be unavailable, interrupted, delayed, limited, or degraded due to maintenance, upgrades, outages, cyberattacks, third-party failures, hosting failures, internet issues, software errors, force majeure events, or other circumstances.

RacewayIQ does not guarantee uninterrupted, secure, error-free, or continuous access.

We may modify, suspend, restrict, discontinue, or replace any feature, calculator, workflow, schedule, report, export, subscription plan, or part of the Service at any time.

29. Changes to the Service

RacewayIQ may add, remove, modify, rename, limit, replace, suspend, or discontinue features at any time.

This includes free features, paid features, beta features, saved-data features, exports, reports, calculators, schedules, workflows, and integrations.

RacewayIQ is not liable for any modification, suspension, discontinuation, loss of access, or loss of data.

30. No Warranty

THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RACEWAYIQ DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, AND OTHERWISE, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, QUIET ENJOYMENT, COURSE OF DEALING, COURSE OF PERFORMANCE, AND USAGE OF TRADE.

RACEWAYIQ DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE ACCURATE;
  • ANY CALCULATION WILL BE CORRECT;
  • ANY RESULT WILL BE COMPLETE;
  • ANY OUTPUT WILL BE CODE-COMPLIANT;
  • ANY REPORT WILL BE SUITABLE FOR SUBMISSION;
  • ANY SCHEDULE WILL BE RELIABLE;
  • ANY FEATURE WILL REMAIN AVAILABLE;
  • ANY DATA WILL BE STORED OR RECOVERABLE;
  • ANY ERROR WILL BE CORRECTED;
  • THE SERVICE WILL BE UNINTERRUPTED OR SECURE;
  • THE SERVICE WILL MEET YOUR NEEDS;
  • THE SERVICE WILL BE SUITABLE FOR ANY PROJECT, INSTALLATION, JURISDICTION, OR APPLICATION.

31. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RACEWAYIQ AND ITS OWNER, OPERATOR, AFFILIATES, CONTRACTORS, EMPLOYEES, LICENSORS, SERVICE PROVIDERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION:

  • PROPERTY DAMAGE;
  • PERSONAL INJURY;
  • DEATH;
  • LOST PROFITS;
  • LOST REVENUE;
  • LOST BUSINESS;
  • LOST CONTRACTS;
  • LOST OPPORTUNITIES;
  • LOST SAVINGS;
  • LOST DATA;
  • DATA CORRUPTION;
  • DELETED DATA;
  • UNAVAILABLE DATA;
  • DESIGN ERRORS;
  • ENGINEERING ERRORS;
  • ESTIMATING ERRORS;
  • PROCUREMENT ERRORS;
  • INSTALLATION ERRORS;
  • CONSTRUCTION DEFECTS;
  • CODE VIOLATIONS;
  • INSPECTION FAILURES;
  • PERMIT FAILURES;
  • AHJ REJECTIONS;
  • REWORK COSTS;
  • REPLACEMENT COSTS;
  • DELAY DAMAGES;
  • LIQUIDATED DAMAGES;
  • BUSINESS INTERRUPTION;
  • CYBERSECURITY INCIDENTS;
  • THIRD-PARTY SERVICE FAILURES;
  • RELIANCE DAMAGES;
  • PROFESSIONAL LIABILITY CLAIMS.

THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, EQUITY, OR ANY OTHER LEGAL THEORY, EVEN IF RACEWAYIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

32. Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RACEWAYIQ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

A. THE AMOUNT YOU PAID TO RACEWAYIQ FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

B. ONE HUNDRED U.S. DOLLARS (US $100.00).

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, RacewayIQ's liability is limited to the maximum extent permitted by law.

33. Indemnification

You agree to defend, indemnify, and hold harmless RacewayIQ, its owner, operator, affiliates, contractors, employees, licensors, service providers, and agents from and against any claims, demands, actions, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your access to or use of the Service;
  • your reliance on any calculation, report, export, schedule, workflow, or output;
  • your engineering, design, estimating, procurement, installation, construction, inspection, permitting, safety, or compliance decisions;
  • your User Content;
  • your violation of these Terms;
  • your violation of applicable law;
  • your violation of third-party rights;
  • your misuse of the Service;
  • your negligence, willful misconduct, or fraud;
  • any claim that a project, installation, design, calculation, report, or output using or influenced by the Service caused damage, loss, injury, code violation, inspection failure, rework, delay, or other harm.

RacewayIQ reserves the right to control the defense of any matter subject to indemnification, and you agree to cooperate with RacewayIQ's defense.

34. Release

To the maximum extent permitted by law, you release RacewayIQ from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, reliance on outputs, project decisions, code compliance decisions, field conditions, third-party services, third-party products, manufacturer documentation, AHJ interpretations, or disputes with third parties.

35. No Reliance

You acknowledge and agree that the Service is provided solely as an informational tool and design aid.

You are not relying on the Service as a substitute for independent professional judgment, professional engineering review, licensed contractor review, manufacturer documentation, project specifications, field verification, utility requirements, applicable codes, or AHJ approval.

RacewayIQ does not warrant that the Service is suitable for any particular project, installation, jurisdiction, application, user, or purpose.

36. Privacy

Your use of the Service is also governed by our Privacy Policy.

By using the Service, you acknowledge that RacewayIQ may collect, use, store, process, and disclose information as described in the Privacy Policy.

37. Cookies and Tracking Technologies

The Service may use cookies, local storage, session storage, analytics tools, authentication tools, payment tools, and similar technologies.

Use of these technologies is described in our Cookie Policy and Privacy Policy.

You may be able to control certain cookies through your browser settings, but disabling cookies or storage may affect Service functionality.

38. Communications

By creating an account, purchasing a subscription, or using the Service, you agree that RacewayIQ may send you service-related communications, including account notices, billing notices, subscription notices, security alerts, support messages, policy updates, and transactional emails.

You may also choose to receive marketing communications. You may opt out of marketing communications where required by law, but you may still receive service-related communications.

39. Termination

You may stop using the Service at any time.

RacewayIQ may suspend, restrict, downgrade, or terminate your access at any time if:

  • you violate these Terms;
  • your payment fails;
  • you misuse the Service;
  • you create legal, security, operational, or reputational risk;
  • you infringe intellectual property rights;
  • you attempt unauthorized access;
  • you abuse accounts, subscriptions, exports, or APIs;
  • RacewayIQ discontinues the Service or any part of it.

Upon termination, your right to access and use the Service ends immediately, except for any limited access we choose to provide or are required to provide by law.

Termination may result in loss of access to saved data, Pro features, reports, schedules, exports, and account information.

40. Effect of Termination

Sections that by their nature should survive termination shall survive, including, without limitation:

  • Engineering Disclaimer;
  • User Responsibility;

41. Future Features

RacewayIQ may expand to include additional calculators, workflows, reports, exports, APIs, integrations, subscription plans, beta features, engineering tools, and design aids.

These Terms automatically apply to all future features unless RacewayIQ provides separate terms.

42. Changes to These Terms

RacewayIQ may update these Terms from time to time.

When we make changes, we may update the "Last Updated" date and may provide notice where required by law.

Continued access to or use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.

If you do not agree to updated Terms, you must stop using the Service and cancel any subscription.

43. Governing Law

These Terms are governed by the laws of the jurisdiction in which RacewayIQ is legally organized, without regard to conflict-of-law rules, unless a different governing law is required by applicable law.

44. Dispute Resolution

Before filing a claim, you and RacewayIQ agree to attempt to resolve disputes informally.

A party seeking to raise a dispute must first send written notice describing the dispute, requested relief, and contact information. The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after notice is received.

45. Arbitration Agreement

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your account, your subscription, billing, cancellation, saved data, calculations, reports, schedules, outputs, or your relationship with RacewayIQ shall be resolved through binding arbitration on an individual basis, rather than in court.

The arbitration shall be administered by a mutually agreed arbitration provider under its applicable rules.

The arbitration shall take place remotely or in a mutually agreed location, unless applicable law requires otherwise.

The arbitrator shall have authority to award the same damages and relief that a court could award, subject to the limitations in these Terms.

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

46. Class Action Waiver

To the fullest extent permitted by law, you and RacewayIQ agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any class action, collective action, consolidated action, private attorney general action, or representative proceeding.

The arbitrator may not consolidate claims of multiple users or preside over any class, collective, consolidated, or representative proceeding.

47. Jury Trial Waiver

To the fullest extent permitted by law, you and RacewayIQ knowingly and voluntarily waive any right to a jury trial in any dispute arising out of or relating to these Terms or the Service.

48. Exceptions to Arbitration

Nothing in these Terms prevents either party from seeking relief in small claims court if the dispute qualifies.

Nothing in these Terms prevents RacewayIQ from seeking injunctive or equitable relief in court for actual or threatened misuse of the Service, intellectual property infringement, unauthorized access, scraping, reverse engineering, security violations, or breach of confidentiality obligations.

49. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect.

If any limitation, waiver, disclaimer, or liability cap is found unenforceable, it shall be enforced to the maximum extent permitted by law.

50. No Waiver

RacewayIQ's failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision later.

51. Assignment

You may not assign, transfer, or delegate these Terms or your account without RacewayIQ's prior written consent.

RacewayIQ may assign, transfer, or delegate these Terms, the Service, user accounts, subscriptions, data, and related rights and obligations in connection with a merger, acquisition, sale of assets, reorganization, financing, change of control, or by operation of law.

52. Force Majeure

RacewayIQ is not liable for any delay, failure, outage, data loss, or inability to perform caused by events beyond its reasonable control, including, without limitation, acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet failures, hosting failures, utility failures, cyberattacks, third-party service failures, supply interruptions, epidemics, pandemics, or changes in law.

53. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Engineering Disclaimer, and any additional terms presented for specific features or subscriptions, constitute the entire agreement between you and RacewayIQ regarding the Service.

These Terms supersede all prior or contemporaneous understandings, communications, representations, or agreements regarding the Service.

By accessing or using RacewayIQ, creating an account, purchasing RacewayIQ Pro, or using any calculator, report, schedule, export, workflow, or beta feature, you acknowledge and agree that:

  • RacewayIQ is an informational design aid only;
  • RacewayIQ does not provide professional engineering services;
  • RacewayIQ does not guarantee accuracy or code compliance;
  • beta features may be incomplete or inaccurate;
  • you are solely responsible for verifying all inputs and outputs;
  • you are solely responsible for project decisions;
  • you assume all risks associated with use of the Service;
  • your subscription renews monthly until cancelled;
  • saved Pro data may become inaccessible or deleted after Pro access ends;
  • RacewayIQ's liability is limited as stated in these Terms.
